By downloading, installing, purchasing, or using Writing Rubric ("the Software"), you accept and agree to these Terms of Service. If you do not agree, do not download, purchase, or use the Software.
License
Jacobus Company, LLC grants you a non-exclusive, non-transferable license to use the Software according to your tier.
Acceptable use
You may not redistribute, resell, sublicense, or reverse-engineer the Software except as expressly permitted.
No warranty
The Software is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. See the Disclaimer.
Acceptance required for every purchase and use
Acceptance of these Terms is required for every purchase and for any use of Writing Rubric. By downloading, installing, purchasing, or using Writing Rubric, you accept these Terms. Paid plans are annual subscriptions — cancel anytime, no refunds. Annual subscription — cancel anytime, no refunds.
Limitation of liability
To the maximum extent permitted by law, Jacobus Company, LLC and its owners, members, and agents shall have no liability whatsoever ($0) for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or relating to Writing Rubric or these Terms, even if advised of the possibility of such damages. You use Writing Rubric entirely at your own risk.
If, and only to the extent that, a complete exclusion of liability is not enforceable under applicable law, the total aggregate liability of Jacobus Company, LLC for all claims arising out of or relating to Writing Rubric or these Terms shall not exceed the amount you actually paid for Writing Rubric in the twelve (12) months preceding the claim — which, for free-tier users, is $0.00.
Indemnification
You agree to indemnify and hold harmless Jacobus Company, LLC from any claims arising out of your use of Writing Rubric.
Your content & intellectual property (copyright)
You are solely responsible for ensuring that any material you provide to, process with, or generate using Writing Rubric — including inputs, examples, reference material, and outputs — does not infringe the copyright, trademark, or other intellectual-property or proprietary rights of any third party. You represent that you have all necessary rights to such material. Jacobus Company, LLC makes no representation that your inputs or outputs are non-infringing and disclaims all liability for any copyright or intellectual-property violation arising from your use of Writing Rubric or from any content you provide or generate. You agree to indemnify and hold Jacobus Company, LLC harmless from any such claim.
Governing law and venue
These Terms are governed by the laws of the state in which Jacobus Company, LLC resides at the current time, and any dispute shall be brought exclusively in the courts located in the city in which Jacobus Company, LLC resides at the current time. You consent to that exclusive jurisdiction and venue. Generated boilerplate — review with counsel before publishing.
